Terms of Use
These Terms of Use ("Terms") govern your access to and use of listings-ai.com (the "Site"), operated by Listings AI ("Listings AI," "we," "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Site. By using the Site, you represent that you meet these requirements.
2. The Site; No Agency Relationship
The Site provides information about our pay-per-appointment lead generation services for real estate professionals. The Site does not, by itself, create any agency, partnership, or joint-venture relationship between you and Listings AI. Paid engagements are governed by a separate written Service Agreement — see Service Terms.
3. License to Use the Site
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful personal and business-evaluation purposes. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Site without our prior written consent.
4. Prohibited Conduct
You agree not to:
- Use the Site in violation of any law or regulation.
- Scrape, harvest, or otherwise collect data from the Site by automated means.
- Interfere with or disrupt the Site, its servers, or connected networks.
- Introduce viruses, malware, or other harmful code.
- Impersonate any person or entity or misrepresent your affiliation.
- Attempt to gain unauthorized access to any portion of the Site, account, or system.
5. Intellectual Property
The Site and all content (including text, graphics, logos, images, software, and design) are owned by Listings AI or its licensors and are protected by copyright, trademark, and other intellectual-property laws. "Listings AI" and associated logos are trademarks of Listings AI. You may not use them without our prior written permission.
6. User Submissions
If you submit information through the Site (including through contact forms or booking pages), you represent that the information is accurate and that you have the right to submit it. You grant Listings AI a worldwide, non-exclusive, royalty-free license to use such submissions for purposes of responding to your inquiry and providing the Services.
7. Third-Party Links and Services
The Site may contain links to third-party websites or services (e.g., scheduling, payment, or CRM providers). We do not control and are not responsible for the content, policies, or practices of those third parties. Your use of third-party services is subject to their terms.
8. Disclaimers
The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses. Any results, testimonials, case studies, or examples described are illustrative; individual results vary and are not guaranteed.
9. Limitation of Liability
To the maximum extent permitted by law, Listings AI and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities arising out of or in connection with your use of the Site, whether based on contract, tort, or any other legal theory. Our aggregate liability for any claim related to the Site shall not exceed one hundred U.S. dollars ($100.00).
10. Indemnification
You agree to defend, indemnify, and hold harmless Listings AI and its affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your submissions, or your breach of these Terms.
11. Termination
We may suspend or terminate your access to the Site at any time, without notice, for any reason, including breach of these Terms. Sections intended to survive termination (including Sections 5, 8, 9, 10, 12, and 13) shall survive.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Any dispute arising out of or relating to the Site shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware. Either party may seek injunctive relief in court to protect intellectual-property rights pending arbitration. You waive the right to a jury trial and to participate in class actions.
13. Changes to These Terms
We may update these Terms from time to time. Changes are effective upon posting. Continued use of the Site after changes constitutes acceptance.
14. Miscellaneous
- Entire agreement: these Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement regarding your use of the Site.
- Severability: if any provision is held invalid, the remaining provisions remain in effect.
- No waiver: our failure to enforce any provision shall not constitute a waiver.
- Assignment: you may not assign these Terms without our prior written consent; we may assign them freely.
